JUCE Example Project With Point To Point SDK
This is an example JUCE project for using the "Point To Point SDK".
The "Point To Point SDK" is a software tool for modeling analog circuits. It is intended for audio signal processing applications. Component-level circuit analysis is automated by the software, allowing for arbitrary circuits to be easily implemented based on the available components.
JUCE and the "Point To Point SDK" are included as submodules in the repository. When cloning the repository, be sure to run the command "git submodule update --init --recursive".
This Agreement covers the access and use of the source code for the "Point To Point SDK", hereafter known as the "Licensor Software". Throughout this Agreement, Licensor Software shall be defined as all source codes, object codes, link libraries, utility programs, project files, documentation, and scripts related to the "Point To Point SDK".
The Licensor Software is provided by Hack Audio LLC (the "Licensor"). By using the Licensor Software, you are agreeing to the following license as the "Licensee".
Licensee may use the Licensor Software to develop their own software ("Licensee Developed Product") including music recording software, digital audio workstations (DAWs), mobile applications, plug-ins, or video games subject to the terms of this Agreement. Licensee may develop and distribute other types of software if Licensee obtains prior written approval from Licensor.
Licensee shall pay the Fees associated with using the Licensor Software for Licensee Developed Products as detailed on hackaudio.com and its associated web pages at the time of obtaining the Licensor Software. All payments of Fees are non-refundable and non-cancellable.
Upon payment of the Fees, Licensor shall provide Licensee with a License Key for authenticating the Licensor Software during use in Licensee Developed Products.
All Fees associated with the Licensor Software are exclusive of taxes, duties, levies, tariffs, and other governmental charges, including VAT (collectively, "Taxes"). Licensee shall be responsible for payment of all Taxes and any related interest and/or penalties resulting from any payments made hereunder, other than any Taxes based on Licensor's net income. Licensee is responsible for any local or use Taxes in its respective jurisdiction.
Every Employee and Third Party Contractor of the Licensee who contributes to or modifies source code, object code, content or any other work that is directly or indirectly dependent on the Licensor Software is required to have an individual seat license.
Licensee shall: (i) limit access and use of the Licensor Software and License Key to its Employees and Third Party Contractors whose use of the Licensor Software is necessary for exercise of the license granted herein; and (ii) remain ultimately responsible for any acts of such Employees and Third Party Contractors related to the licensing of the Licensor Software.
Unless prior written consent has been obtained from the Licensor, the following restrictions apply.
As between Licensee and Licensor and except for the rights granted under this Agreement: (i) Licensor owns and retains all Intellectual Property Rights and other rights, title and interest in and to the Licensor Software; and (ii) Licensee owns and retains all Intellectual Property Rights and other rights, title and interest in the Licensee Developed Products (excluding any Licensor Software embodied therein).
The Licensor Software related to this Agreement is provided in an "as is" condition and without warranty of any kind. The Licensor makes no guarantee as to the source code's performance.
Under no circumstances shall Licensor be liable to Licensee for any incidental, consequential, or indirect damages including but not limited to lost or damaged data, revenue loss, economic loss, or commercial loss arising out of a breach of any terms and conditions set forth in this Agreement. This limitation of liability shall apply regardless of if the alleged breach is a fundamental breach or fundamental term.
The Licensee agrees to hold the Licensor harmless as well as defend the Licensor from any and all damages, costs, and liabilities that take place from a lawsuit due to any of the following
Additionally, the Licensor shall indemnify and hold the Licensee harmless against any damages related to the source code of the Licensor Software.
While the term of this Agreement may be perpetual, this Agreement may terminate immediately in the event any breach occurs of the terms and conditions listed herein. In the event of termination, the Licensee must destroy any and all copies of the Licensor Software.
If any part of this Agreement is held to be unenforceable or invalid, in whole or in part, by a court of competent jurisdiction, the remaining provisions of the Agreement will remain in full force and effect, and the provision affected will be construed so as to be enforceable to the maximum extent permissible by law.
The Agreement will be governed by and interpreted in accordance with the laws of the State of Tennessee (United States), without giving effect to any choice of law or conflicts of law rules of any jurisdiction, or the United Nations Convention for the International Sale of Goods. Any proceeding brought to enforce this Agreement or to adjudicate any dispute related to this Agreement must be heard in the state and federal courts of Nashville, Tennessee. Each party submits itself to the exclusive jurisdiction and venue of these courts for purposes of proceedings related to this Agreement, waives forum non conveniens and similar defenses, and agrees that any service of process may be effected by delivery of the summons in the same manner provided for delivery of notices pursuant to the following.
All notices permitted or required under this Agreement shall be in writing, will reference this Agreement, and shall be delivered in person, by overnight courier or express delivery service, or by first class, registered or certified mail, postage prepaid, to the address of the receiving party. Any notices shall be effective upon the date of actual receipt.
Licensee shall comply fully with all relevant export laws and regulations of the United States and other applicable jurisdictions to ensure that neither the Licensor Software, nor any Licensee Developed Products, are: (i) exported or re-exported directly or indirectly in violation of such export laws and regulations; or (ii) used for any purposes prohibited by such export laws and regulations.
No terms or conditions on this Agreement shall be modified or replaced without the written consent of both parties.
No failure or delay by either party in exercising any right, power or remedy under this Agreement operates as a waiver of any right, power or remedy. This Agreement may not be modified, amended or waived except by a further writing executed by a duly authorized representative of each party. A party's waiver of any provision of this Agreement is not a waiver of any other provision, nor does any waiver operate as a waiver of the relevant provision respecting any future event or circumstance.
Both parties agree that direct monetary damages may not be the sole extent of damages related to a breach of this Agreement. Therefore, each party agrees a breach in this Agreement by the Licensee will allow the Licensor to seek additional relief from the Licensee. Unless this Agreement expressly provides otherwise, either party's election of any remedies is not exclusive of any other remedies at law or equity, and all remedies are cumulative.
Licensee agrees the Licensor does not have any obligation under this Agreement to provide future updates to the Licensor Software. If the Licensor Software is updated, Licensor shall provide to Licensee all updates generally made available to Licensor's customers using a comparable version of the Licensor Software. Licensee shall be solely responsible for any and all maintenance, End User support, technical support and updates with respect to the Licensee Developed Products.
Licensee shall: (i) provide Licensor with one (1) copy of each Licensee Developed Product made commercially available on each applicable platform (or free access thereto) upon release for marketing and demonstration purposes and to monitor compliance; and (ii) promptly notify Licensor if Licensee becomes aware of any unauthorized use of all or any portion of Licensor Software by any third party.
To the extent that Licensee creates any improvements of, or works derived from, the Licensor Software, Licensee hereby, transfers, conveys and assigns all Intellectual Property Rights and other rights, title and interest therein to Licensor and shall execute all documents and undertake all other actions necessary to effectuate same. Notwithstanding the foregoing, Licensee's pre-existing Intellectual Property and any derivative works thereof that were developed prior to receipt of and/or without reference to Licensor Software, shall not be considered to be or become a part of the Licensor Software or any improvements or derivatives thereof.
Licensee may from time to time provide Licensor with information and feedback regarding the features and performance of the Licensor Software (including proposed features, modifications, improvements, or enhancements), as well as information regarding any and all failures, errors, deficiencies, or other malfunctions in the Licensor Software along with any associated error messages (collectively, the “Feedback”). Licensee hereby grants to Licensor a worldwide, nonexclusive, royalty free, irrevocable, perpetual, transferable, sub-licensable right and license to use and otherwise exploit the Feedback for any purpose without restriction or payment to Licensee. Feedback is not Confidential Information of Licensee, irrespective of any language to the contrary in any correspondence or communication in which Feedback is transmitted to Licensor, provided that Licensor shall not use or disclose Feedback in any manner that identifies Licensee as the source of such Feedback.
